Business Escrow in Texas

Escrow for business sales and acquisitions

Between a signed letter of intent and the final closing, buyers need to show they can finance the purchase, and sellers want to know the money is secured before they hand over the business and its assets. A neutral escrow agent solves both problems by holding the funds until every condition in the agreement is met.

We hold earnest money deposits, closing funds and holdbacks in separate escrow accounts and release them according to the agreement between the parties. Funds move only when the conditions you set are satisfied, the authorized parties sign for it and every party can see where the money stands.

Earnest money deposits are generally held while the buyer completes due diligence and inspections, so the seller knows the buyer is serious and the buyer knows the deposit is safe until the deal is final.

Post-closing indemnity holdbacks set aside part of the sale proceeds, often for six to 24 months, to protect the buyer against undisclosed liabilities or to secure obligations between the parties after closing. Read more about how holdbacks work.

Bring us in before the letter of intent is signed so the deposit, holdback amount and release conditions are written clearly into the agreement. Consult with your attorney and CPA about how the terms apply to your deal.
